Terms of Service

These Terms of Service ("Terms") govern your access to websites, software, developer tools, documentation, and related services provided by LocalThink Inc. ("LocalThink," "we," "us"), a company incorporated in the State of Delaware, United States. By creating a LocalThink ID, downloading our software, or otherwise using our services, you agree to these Terms.

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create a LocalThink ID or purchase our products. By using our services, you represent that you meet this requirement.

Use of Services

You may use our services only in compliance with applicable laws and these Terms. You may not misuse, disrupt, reverse engineer hosted services, interfere with security controls, or use our services to transmit unlawful, harmful, or infringing content. Additional rules are set out in our Acceptable Use Policy.

Software and Content

Some LocalThink projects may be distributed under separate open-source licenses or product-specific terms. If separate terms apply, those terms control for the relevant software, content, or service.

You retain ownership of any content you create, capture, or store using LocalThink products, including conversations saved in the LocalThink Format (LTF). We do not claim ownership over your content and, other than as needed to provide the service you request, do not access, upload, or process content stored locally on your device.

LocalThink ID and Payments

Certain services may require a LocalThink ID or paid plan. You are responsible for maintaining accurate LocalThink ID information and for all activity under your LocalThink ID. Fees, billing intervals, taxes, and cancellation rights will be presented at checkout or in the applicable order flow. See our Refund Policy for details on refunds and cancellations.

LocalThink ID

A LocalThink ID is your identity across LocalThink products and services. Your LocalThink ID identifies you as a user but does not store your conversation content or personal thinking data on LocalThink Inc. servers.

When you create a LocalThink ID, an authentication token is stored locally on your device. Core local library, search, and file management functionality in LocalThink Desktop remains available without an internet connection. Online verification is only required for initial LocalThink ID creation, device changes, or future cloud-based services.

You are responsible for keeping your LocalThink ID credentials secure. If you believe your LocalThink ID has been compromised, contact us immediately.

Termination

You may stop using our services and delete your LocalThink ID at any time by contacting us. We may suspend or terminate your access to our services if you violate these Terms, our Acceptable Use Policy, or applicable law, or if required to comply with legal obligations. Upon termination, provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will continue to apply.

Disclaimers

Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, LocalThink Inc. disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, LocalThink Inc. and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or related to your use of our services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or our services will not exceed the amount you paid us, if any, in the twelve months preceding the claim.

Governing Law and Dispute Resolution

LocalThink Inc. is incorporated in the State of Delaware, United States. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or our services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their exclusive jurisdiction and venue. This section does not limit any non-waivable consumer protection rights you may have under the mandatory laws of your country or state of residence.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting an updated version on this page with a new "Last updated" date, and where appropriate, by emailing the address associated with your LocalThink ID. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
